Job Title: General Counsel / Chief Compliance Officer (“GC/CCO”)

Overview: Advaita Capital is seeking a seasoned legal and compliance leader to drive strategic initiatives at our growing venture capital firm. This role oversees regulatory matters, manages secondary securities transactions, and leads the firm’s SEC RIA registration. The ideal candidate brings deep expertise in securities law, venture capital, and regulatory compliance.

Key Responsibilities:     

  • Oversee legal and regulatory matters, including SEC RIA registration, Form ADV filings, and compliance obligations.
  • Structure, draft, and negotiating agreements for secondary transactions, fund formations, and venture investments.
  • Ensure adherence to securities laws (Securities Act of 1933, Investment Advisers Act of 1940), AML, KYC, and investor requirements.
  • Develop and implement a compliance program covering RIA fiduciary duties, disclosure requirements, and conflict-of-interest policies.
  • Monitor and interpret regulatory changes, advising leadership on impact and ensuring compliance with Rule 144, Regulation D, and other frameworks.
  • Conduct employee training on compliance policies, ethical standards, and regulatory updates while maintaining records for audits and inquiries.
  • Act as the primary regulatory liaison, coordinating responses to examinations, audits, and external legal matters.

Qualifications:

  • Experience: 10+ years of legal experience, including both law firm and in-house roles, with expertise in VC, PE, and asset management. Especially secondary VC transactions.
  • Education: Strong academic credentials with significant in-house experience at an asset management firm.
  • Legal Expertise: Deep knowledge of the Investment Advisers Act, with working knowledge of the Investment Company Act and Securities Act, plus familiarity with U.S. and European investment management regulations.
  • Skills: Strong negotiation skills in commercial and operational contracts, with the ability to manage diverse legal matters in a fast-paced environment.
  • Licensing: Preferred licensing in the US
